1. Agreement to Terms
By accessing or using PVLSE ("Service"), you agree to these Terms of Service ("Terms"). If you're using PVLSE on behalf of a company, you represent that you have authority to bind that company.
If you don't agree, don't use the Service.
Minimum age: 18+
2. The Service
2.1 What PVLSE Does
- Conversational AI interface to query company knowledge
- Meeting transcription and intelligence
- Task management and recommendations
- Company-wide onboarding assessments
- Integrations with your existing tools (Google Drive, Notion, QuickBooks, etc.)
- Wellbeing tracking and proactive insights
2.2 What PVLSE Doesn't Do
- Replace human decision-making
- Guarantee specific business outcomes
- Monitor individual employees (unless you explicitly configure it)
- Provide legal, financial, or medical advice
3. Accounts & Access
3.1 Account Creation
- Provide accurate, complete information
- You're responsible for your password security
- One account per person (no sharing)
- Company admins manage team access
3.2 Company Accounts
- One company per unique email domain
- Admins can invite team members via email domain matching
- Admins control permissions and data access
3.3 Account Security
- Notify us immediately of unauthorized access: yannik@fvtura.com
- You're liable for activity under your account
4. Subscription & Payment
4.1 Plans
- Free Trial: Unlimited duration with feature limitations
- Full Suite: $100 per user per month, full functionality
4.2 Billing
- Monthly subscription, billed in advance
- Auto-renewal unless canceled
- Prices quoted in USD or EUR (depending on your location)
- Payment via credit card or bank transfer (annual plans)
4.3 Price Changes
- We'll notify you 30 days before any price increase
- Continued use = acceptance of new pricing
- You can cancel before the increase takes effect
4.4 Refunds
- No refunds for partial months
- If we materially fail to deliver the Service, contact us for resolution
4.5 Taxes
- Prices exclude taxes (VAT, sales tax, etc.)
- You're responsible for all applicable taxes
5. Free Trial Terms
5.1 What's Included
- Basic onboarding assessment and company-wide summaries
- View-only integrations
5.2 What's Excluded
- Anything else
5.3 Upgrade Anytime
- No credit card required for trial
- Upgrade via app when ready
6. Cancellation & Termination
6.1 You Can Cancel
- 30 days notice required
- Send cancellation request to yannik@fvtura.com
- Access continues through the end of your billing period
- We'll delete your data per our Privacy Policy
6.2 We Can Suspend/Terminate
Immediately, if you:
- Violate these Terms
- Use the Service for illegal activities
- Abuse or overload the system
- Fail to pay
With 30 days notice, if:
- We discontinue the Service
- Your usage violates our Acceptable Use Policy
6.3 What Happens After Termination
- 30-day grace period: We'll retain your data (read-only access)
- After 30 days: Data permanently deleted
- Backups purged within 90 days
- No refunds for unused time
7. Your Data & Content
7.1 You Own Your Data
- You retain all rights to your company data
- We're just a processor, not the owner
7.2 License to Us
You grant us permission to:
- Process your data to provide the Service
- Use anonymized data to improve our internal AI models (not company-specific data)
- Store and transmit data to our sub-processors
7.3 You're Responsible For
- Content you upload (documents, files)
- Accuracy of information you provide
- Ensuring you have rights to share integrated data (Google Drive, etc.)
7.4 Prohibited Content
Don't upload:
- Illegal content
- Malware or viruses
- Content that violates others' IP rights
- Personal data you don't have permission to process
8. Acceptable Use Policy
Don't:
- Reverse engineer or copy the Service
- Use bots or scrapers (except our authorized API)
- Overload our servers (excessive API calls)
- Resell or sublicense access
- Use for illegal purposes
- Harass or harm others
- Attempt to gain unauthorized access
Violation = immediate suspension or termination.
9. Intellectual Property
9.1 Our IP
PVLSE owns:
- The software, code, algorithms
- Our own AI architecture
- PVLSE trademarks and branding
- UI/UX design
9.2 Your IP
You own:
- Your company data
- Your content and documents
9.3 Feedback
If you suggest features or improvements:
- We can use your feedback freely
- You don't get compensation or ownership
10. Third-Party Services
10.1 Integrations
- Google Drive, Notion, QuickBooks, etc. are third-party services
- Their terms govern your use of those services
- We're not responsible if they break or change their APIs
10.2 Links
- We may link to external sites
- We don't endorse or control those sites
- Use at your own risk
11. Warranties & Disclaimers
11.1 Our Commitment
We strive to provide:
- 99% uptime during business hours
- Accurate AI responses (>95% accuracy target)
- Secure data handling
11.2 DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
We don't guarantee:
- Uninterrupted or error-free operation
- Specific business outcomes
- That AI responses are always 100% accurate
- Compatibility with all third-party services
NO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
12. Limitation of Liability
12.1 What We're NOT Liable For
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Indirect, incidental, consequential damages
- Lost profits, revenue, data, or opportunities
- Business interruption
- Third-party actions or content
EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
12.2 Liability Cap
OUR TOTAL LIABILITY = THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS
12.3 Exceptions
These limits don't apply to:
- Our gross negligence or willful misconduct
- Data breaches caused by our security failures
- Liability that can't be limited by law
13. Indemnification
You agree to defend and indemnify PVLSE against claims arising from:
- Your violation of these Terms
- Your content or data
- Your use of the Service
- Your violation of third-party rights
14. Data Processing Terms
14.1 Roles
- You: Data Controller (you decide what data to process)
- Us: Data Processor (we process it per your instructions)
14.2 Processing Instructions
We'll process your data to:
- Provide the Service as described
- Comply with your configuration settings
- Follow your deletion/export requests
14.3 Data Protection Agreement (DPA)

14.4 Sub-Processors
List available in our Privacy Policy. We'll notify you of changes with 30 days notice.
15. Service Level Agreement (SLA)
15.1 Uptime Commitment
- Target: 99% uptime during business hours (8am-6pm your local time)
- Exclusions: Scheduled maintenance (notified 7 days in advance)
15.2 Response Times
- Critical issues: 4 hours (Paid tier only)
- Standard support: 24 hours (business days)
- Free trial: Best effort, no SLA
15.3 Credits for Downtime
If we fail to meet 99% uptime:
- 95-99%: 10% monthly credit
- 90-95%: 25% monthly credit
- <90%: 50% monthly credit
Request credits within 30 days of incident.
16. Changes to Terms
16.1 How We'll Notify You
- Email to your registered address (30 days notice)
- In-app notification
- Updated "Last Modified" date at the top
16.2 Material Changes
For significant changes (pricing, liability, data use):
- 30 days advance notice
- Continued use = acceptance
- You can cancel if you disagree (no early termination fees)
16.3 Minor Changes
Bug fixes, clarifications, additional protections for you:
- May be effective immediately
- We'll still notify you
17. Governing Law & Disputes
17.1 Governing Law
- Legal entity: PVLSE Inc., a Delaware corporation
- Governing law: Delaware law (excluding conflicts of law principles)
- Federal jurisdiction: Where applicable, US federal law
17.2 Dispute Resolution
Step 1: Contact us to resolve informally (yannik@fvtura.com)
Step 2: Mediation (both parties agree on a mediator)
Step 3: Arbitration or courts (if mediation fails)
17.3 Venue
- US customers: Delaware state or federal courts
- Non-US customers: Arbitration under ICC Rules (International Chamber of Commerce)
17.4 No Class Actions
You agree to resolve disputes individually, not as part of a class action.
18. General Terms
18.1 Entire Agreement
These Terms + our Privacy Policy = the entire agreement.
18.2 Severability
If any provision is invalid, the rest remains in effect.
18.3 No Waiver
Our failure to enforce a right doesn't waive that right.
18.4 Assignment
- You: Can't transfer your account without our written consent
- Us: Can assign these Terms (e.g., if we're acquired)
18.5 Force Majeure
We're not liable for delays caused by events beyond our control (natural disasters, war, pandemics, etc.).
